Terms of Service

1. Acceptance of Terms

By accessing or using Bifrost Sovereign services ("Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you (or the entity you represent) and Bifrost Sovereign regarding your use of our sovereign cloud infrastructure services.

2. Description of Services

Bifrost Sovereign provides EU-based sovereign cloud infrastructure services including:

• GPU compute resources for AI and machine learning workloads
• Kubernetes cluster management and orchestration
• Object and block storage solutions
• Networking and connectivity services
• Technical support and managed services

3. Account Registration

To use our Services, you must create an account and provide accurate, complete information. You agree to:

• Provide accurate and current registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account
• Ensure your use complies with all applicable laws

4. Use of Services

You may use our Services only for lawful purposes in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use Services for any illegal, harmful, or fraudulent activities
• Transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity of our Services
• Resell or redistribute Services without authorization

Our Acceptable Use Policy provides detailed guidelines on permitted and prohibited uses.

5. Service Level Agreement

We commit to the following service levels for our core infrastructure:

Service credits are available for SLA breaches as detailed in your service agreement. Scheduled maintenance windows are excluded from uptime calculations.

6. Pricing and Payment

Service pricing is as published on our website or as specified in your service agreement. Payment terms include:

• All prices are in Euros (EUR) unless otherwise specified
• Invoices are due within 30 days of issue
• Late payments may incur interest at the statutory rate
• We reserve the right to suspend Services for non-payment
• Prices may change with 30 days advance notice

7. Customer Data

You retain all rights to your data. By using our Services, you grant us a limited license to host, store, and process your data solely to provide the Services. We will:

• Process your data only as necessary to provide Services
• Maintain data exclusively within EU jurisdiction
• Implement appropriate security measures
• Not access your data except as required for support or security
• Return or delete your data upon termination per your instructions

8. Intellectual Property

Bifrost Sovereign and its licensors retain all rights to the Services, including software, documentation, trademarks, and other intellectual property. You may not copy, modify, distribute, or reverse engineer any part of our Services. Your use of the Services does not grant you any ownership rights in our intellectual property.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the service relationship. This includes technical data, business information, pricing, and customer data. Confidentiality obligations survive termination of these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for lost profits, data loss, or business interruption
• These limitations apply regardless of the legal theory of the claim

These limitations do not apply to liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Bifrost Sovereign from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights. We will provide prompt notice of any such claims and cooperate in the defense.

12. Term and Termination

These Terms begin upon account creation and continue until terminated. Either party may terminate:

• With 30 days written notice for convenience
• Immediately for material breach not cured within 30 days
• Immediately if the other party becomes insolvent

Upon termination, you may export your data for 30 days. After this period, we will delete your data unless legally required to retain it.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the platform at least 30 days in advance. Continued use of Services after changes take effect constitutes acceptance. If you do not agree to modified Terms, you must terminate your account.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the European Union and the member state where Bifrost Sovereign is registered, without regard to conflict of law principles.

Any disputes shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the European Arbitration Chamber, or to the courts of competent jurisdiction in our registered member state.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between the parties
• Severability: Invalid provisions will be modified to be enforceable
• Waiver: Failure to enforce a provision does not waive future enforcement
• Assignment: You may not assign these Terms without our consent
• Force Majeure: Neither party is liable for delays due to circumstances beyond control
